1. Overview

These Terms and Conditions, together with any documents that expressly incorporate by reference (collectively, the Terms) govern your access and use of the CORTO application, programs, tools and services (CORTO AI) offered by Corto Pty Ltd ACN 670 818 292 (CORTO, We, Us, Our) on the website and all associated sites linked to https://www.docorto.ai/. "You" means you individually as a user of CORTO AI.
The Site is the property of CORTO and by accessing or using CORTO AI and/or the Site you agree to be bound and abide by these Terms, and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, or our Privacy Policy you must not access or use CORTO AI or the Site.
Please read these Terms carefully before you start to use CORTO AI and the Site. By using CORTO AI or the Site or by clicking to accept or agree to the Terms you expressly acknowledge that you have read and understood all of the Terms and have taken time to consider the consequences and ramifications contained herein.

2. Trial Period

If you are a new user, you may elect to participate in a free trial period for 14 days. If you choose to continue using CORTO AI after the trial period ends you will be billed in accordance with the pricing terms on the Site.
If you choose not to continue using CORTO AI following any trial period, you may delete your account with us and you will not be billed.

3. Changes to these Terms

CORTO reserves the right to update or change these Terms including any pricing on the Site, from time to time without notice to you. All changes are effective immediately when we post them.
It is your responsibility to check these Terms and the Site regularly for any changes. Your continued use of CORTO AI following the posting of any changes on the Site or revised Terms constitutes your acceptance to any amendments or changes.

4. Purpose of CORTO AI

CORTO AI is designed to be used by lawyers and other legal professionals working in law firms and the legal system.
At CORTO, we understand your time is precious and you need to locate the right data and information quickly. CORTO AI is an artificial intelligence-powered ("AI-powered") platform that allows us to streamline and accelerate your access to AI-powered insights into your own client file matters much more efficiently and also generate AI content.
In these Terms, "AI-powered platform" means a machine-based system that, for explicit or implicit objectives, infers, from the input it receives, how to generate outputs such as predictions, content, recommendations, or decisions that can influence physical or virtual environments.
CORTO AI uses trusted third-party artificial intelligence resources, including, OpenAI's large-scale language-generation model and others, from time to time.

5. Accessing CORTO AI and the Site

Subject to these Terms, we grant you a non-exclusive and non-transferable revokable right to access and use CORTO AI.
CORTO AI must not be used as a substitute for the advice of a qualified and licensed solicitor in the relevant jurisdiction.
CORTO retains the right to charge fees for CORTO AI. Where applicable, you will be informed and required to agree to such fees before you can access CORTO AI.
We reserve the right to terminate or modify CORTO AI, and any services, data or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason CORTO AI or all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to CORTO AI and some or all of the Site.
You are responsible for making all arrangements necessary for you to have access to CORTO AI and the Site; and ensuring that anyone who accesses CORTO AI or the Site through your internet connection are aware of these Terms and comply with them.
To access CORTO AI and the Site or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of CORTO AI that all the information you provide in CORTO AI is correct, current, and complete. You agree that all information you provide to register with and use CORTO AI and the Site or otherwise, including, but not limited to, through the use of any interactive features in CORTO AI or on the Site, is also governed by our Privacy Policy, and you agree to all actions we take with respect to your information consistent with our Privacy Policy.
If you create, or are provided with, a username (email), password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to CORTO AI or the Site or portions of it using your username (email), password, or other security information.
You agree to notify us immediately of any unauthorized access to or use of your username (email) or password or any other breach of security. You also agree to ensure that you exit/logoff from CORTO AI or the Site at the end of each session. You should use particular caution when accessing CORTO AI or the Site from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any username (email), password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

6. Content

CORTO claims no intellectual property rights in any input that you provide to CORTO AI or any output or content generated by CORTO AI. CORTO does not review such inputs or outputs, including text, logos, names or slogans, for accuracy, bias or intellectual property rights.
You are solely responsible to ensure that you have all rights necessary (including trademark, copyright and other intellectual property rights) to provide your inputs into CORTO AI.
CORTO makes no representation, warranty or guarantee as to the accuracy or reliability of CORTO AI or whether such output may infringe on third-party intellectual property rights. You should review the output accordingly and your use thereof is at your sole risk.
Outputs may not be unique across users and CORTO AI may generate the same or similar outputs for other users.
CORTO may use technology provided by third-party service providers to provide CORTO AI. You authorize CORTO and such third-party service providers to store and use your input for the purposes of providing you with CORTO AI, to review inputs and outputs for abuse or misuse, and to develop and improve the services and products of CORTO and such service providers, including as part of the design, training and development process for machine learning models.

7. Rules of Conduct

You acknowledge and agree that your use of CORTO AI and this Site shall be at your own risk and that CORTO AI and this Site are provided on an "as is", and "as available" basis.
You represent, warrant, and agree that:
1. you will not use, nor permit any other person to use on your behalf, CORTO AI or the Site in violation of these Terms;
2. your use of this Site and CORTO AI, including any content you submit, will comply with these Terms, or any law firm policy that may apply to your or the services you provide, and all applicable local, state, national and international laws, rules and regulations;
3. you will not collect or harvest (or permit anyone else to collect or harvest) any content generated by CORTO AI, or any non-public or personally identifiable information about any other person or entity without their express prior written consent;
4. you will not use, nor authorize anyone to use on your behalf, CORTO AI in a manner (as determined by CORTO in its absolute discretion, including, without limitation creating or generating content) that is:
  1. illegal, or promotes or encourages illegal activity;
  2. promotes, encourages, or engages in the exploitation of children, or any activity related to the proliferation of child sexual abuse material;
  3. promotes, encourages or engages in terrorism, terrorism-financing, money-laundering, violence against people, animals, or property;
  4. promotes, encourages or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking;
  5. promotes or facilitates prostitution and/or sex trafficking;
  6. infringes on the intellectual property rights of any other person or entity;
  7. violates the privacy or publicity rights of any other person or entity, or breaches any duty of confidentiality that you owe to any other person or entity;
  8. interferes with the operation of any other services provided by CORTO;
  9. contains or installs any viruses, worms, bugs, trojan horses or other code, files or programs designed to, or capable of, disrupting, damaging or limiting the functionality of any software or hardware;
  10. contains false or deceptive language, or unsubstantiated or comparative claims, regarding CORTO's services or the services you provide;
5. you will not perform any false, abusive or fraudulent activity;
6. you will not perform any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
7. you will not modify or alter any part of our Site or copy or distribute in any medium any part of our Site (except where expressly authorized by CORTO);
8. you will not access CORTO AI through any technology or means other than through this Site itself, or as CORTO may designate;
9. you will not re-sell or provide CORTO AI for a commercial purpose, including any of CORTO's related technologies (without CORTO's express prior written consent); and
10. you will not circumvent, disable or otherwise interfere with the security-related features of the Site or CORTO AI found at this Site (including without limitation those features that prevent or restrict use or copying of any CORTO AI content or enforce limitations on the use of this Site or CORTO AI found at this Site.
You agree to back-up all of your content generated from CORTO AI so that you can access and use it when needed. CORTO does not warrant that it backs-up any CORTO AI content, and you agree to accept as a risk the loss of any and all of your CORTO AI content.
You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity if requested.
Without limiting any of the rights set forth elsewhere in these Terms, CORTO expressly reserves the right to deny, cancel, terminate, suspend, or limit future access to this Site or CORTO AI, whether due to breach of this or any other Terms or any CORTO policy, or (ii) who otherwise engages or has engaged in inappropriate or unlawful activity while utilizing the Site or CORTO AI (as determined by CORTO in its absolute discretion).
If your account activity or use of CORTO AI shows signs of fraud, abuse or suspicious activity, CORTO may cancel any service associated with your name, email address or account and close any associated CORTO accounts. If CORTO, in its sole discretion, determines that any conducted activity is fraudulent, CORTO reserves the right to take any necessary legal action and you may be liable for monetary losses to CORTO including legal costs and damages.

8. Suspension

We reserve the right to audit your use of CORTO AI and, if we are of the opinion in our sole discretion that your use of CORTO AI or the Site is non-compliant with these Terms we reserve the right to suspend or terminate your access to CORTO AI.
CORTO AI incorporates third party services, if a third-party service becomes unavailable or unsuitable for use in CORTO AI (in our sole discretion), we may suspend the delivery of CORTO AI while it investigates suitable substitute services. If a suitable substitute service cannot be found, CORTO may terminate your access to the Services effective immediately upon written notice to you.

9. Links to third-party websites

CORTO AI and the Site may contain links to third-party websites that are not owned or controlled by CORTO. CORTO assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites.
CORTO does not censor or edit the content of any third-party websites. By using CORTO AI or the Site, you expressly release CORTO from any and all liability arising from your use of any third-party website. You acknowledge and agree that when you will review and be subject to the terms and conditions, privacy policies, and other governing documents of each other website that you may visit.

10. Disclaimer of representations and warranties

CORTO, its officers, directors, employees, agents, and all third-party service providers disclaim all warranties, statutory, express or implied, including, but not limited to, any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. CORTO, its officers, directors, employees, and agents make no representations or warranties about
1. the accuracy, completeness, or content of CORTO AI or this Site,
2. the accuracy, completeness, or content of any sites linked (through hyperlinks, banner advertising or otherwise) to this Site,
3. CORTO AI or any other services found at this Site or any sites linked (through hyperlinks, banner advertising or otherwise) to this Site, and/or
4. any action or failure to act by CORTO consistent with these Terms, and CORTO assumes no liability or responsibility for the same.
You acknowledge and agree that auto-generated outputs including but not limited to text, recommendations, advice, logos, names, slogans, etc. have not been reviewed for legal accuracy, bias, explainability or intellectual property clearance and does not constitute legal advice.
CORTO makes no representation, warranty or guarantee as to the legal accuracy, reliability or error-free performance of CORTO AI including (without limitation) whether outputs are correct, or whether outputs may infringe, misappropriate or violate any third-party intellectual property rights.
You agree that you will check and confirm any outputs generated by CORTO AI before you use any output in connection with any legal advice you provide.
You acknowledge and agree that no oral or written information or advice provided by CORTO, its officers, directors, employees, or agents (including without limitation its helpdesk or sales or customer service representatives), and third party service providers will
1. constitute legal or financial advice or
2. create a warranty of any kind with respect to CORTO AI or this Site, and Users should not rely on any such information or advice.
The above disclaimer of representations and warranties shall apply to the fullest extent permitted by law, and shall survive any termination or expiration of these Terms or your use of CORTO AI or this Site.
CORTO makes no representation or warranty that the content available via CORTO AI or on this Site are appropriate in every country or jurisdiction, and access to CORTO AI and this Site from countries or jurisdictions where its content is illegal is prohibited. If you choose to access CORTO AI or this Site you are responsible for compliance with all local laws, rules and regulations.

11. Indemnity

You agree to protect, defend, indemnify and hold harmless CORTO and its officers, directors, employees, agents, and third party service providers from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature (including, without limitation, reasonable legal fees imposed upon or incurred by CORTO directly or indirectly arising from:
1. your use of CORTO AI and access to this Site or any other services found at this Site;
2. your violation of any provision of these Terms or the policies or agreements which are incorporated herein; and/or
3. your violation of any third-party right, including without limitation any intellectual property or other proprietary right.
The indemnification obligations under this section shall survive any termination or expiration of these Terms or your use of CORTO AI, this Site or any other services found at this Site.

12. Limitation of Liability

In no event shall CORTO, its officers, directors, employees, agents, or any third-party service providers, be liable to you, your Users or any other person or entity for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including any that may result from any outputs created using CORTO AI.
You acknowledge and agree that in no event shall CORTO's total aggregate liability exceed any payments you made to CORTO for CORTO AI and any other services in the 12 months prior.
The foregoing limitation of liability shall apply to the fullest extent permitted by law and shall survive any termination or expiration of these Terms or your use of the Site, or CORTO AI.
